Dear Members of the Avalon Celtics Community,

Please find attached the following documents for your review in advance of the 2026 Annual General Meeting (AGM):

  • Current AMHA By-Laws (2024 Revision)
  • Proposed By-Law Amendments (2026)

These materials are being provided to the membership in accordance with the Association’s governance requirements. The proposed amendments will be presented for discussion and will be brought forward for a vote at the AGM, where approval will require a two-thirds majority of members present.

Overview of Proposed Amendments

The Board has proposed a number of amendments intended to improve governance, flexibility, and the long-term sustainability of the Association. In summary, the proposed changes would:

  • Simplify Board structure and workload balance
    Adjust director roles to reduce uneven workloads across divisions and allow the Board to assign responsibilities more effectively.
  • Strengthen leadership continuity and governance
    Introduce a preference for prior Board experience before serving as President, and refine election timing to help maintain continuity from year to year.
  • Improve operational flexibility
    Allow the Board, with appropriate oversight and documentation, to approve reasonable exceptions related to coaching assignments, Board participation in coaching, and similar operational matters when required.
  • Enhance accountability and participation
    Add provisions to address Board member attendance and conduct to support active, responsible governance.
  • Update financial governance and fiscal oversight
    Clarify the role of the membership in appointing the independent accounting reviewer and correct the Association’s fiscal year.
  • Modernize policies and references
    Update references to Hockey NL and AMHA policies to ensure they remain current, accurate, and accessible.

These amendments are intended to ensure AMHA continues to operate effectively, remains aligned with comparable associations, and is well-positioned to support its players, families, and volunteers.
